1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern access to and use of the NKWAPI.COM website, software, WhatsApp marketing tools, broadcast messaging services, subscriptions and related products. By registering, purchasing or using the platform, you agree to these Terms. If you do not agree, discontinue use.
2. About NKWAPI.COM
NKWAPI.COM provides tools that help businesses manage contacts, create and schedule broadcast campaigns, and send business communications through supported integrations. We operate as a seller or reseller of messaging-related services. Depending on the product purchased, services may involve WA Mantra, WhatsApp, Meta and other technology partners. Features depend on the selected plan, account configuration and provider restrictions.
3. Eligibility and Accounts
You must be legally capable of entering a binding agreement, provide accurate registration information, use the platform lawfully, protect your credentials, promptly report suspected unauthorized access, and keep account and billing details current. You are responsible for activity carried out through your account except where applicable law provides otherwise.
4. Services
Depending on the plan, services may include WhatsApp broadcast and campaign tools, business messaging, contact management, templates, scheduling, delivery-status information where supported, subscription management and related support. Features, usage limits, quotas, pricing and availability may vary. We may modify or discontinue features where reasonably necessary, subject to applicable law and specific contractual commitments.
5. Third-Party Dependencies
WhatsApp, Meta, WA Mantra, payment processors, hosting providers and other third parties may apply their own terms, policies, fees, technical restrictions and eligibility requirements. We cannot guarantee uninterrupted access to their services. A provider may reject a message, restrict a number, suspend an account, change pricing or discontinue a feature. You must comply with applicable third-party terms, including relevant WhatsApp Business policies.
6. Acceptable Use
You must not use NKWAPI.COM to send spam or unlawful unsolicited messages; contact recipients without required consent, permission or another lawful basis; ignore opt-out requests; send fraudulent, misleading, threatening or harassing content; distribute malware or phishing links; promote illegal or prohibited products; violate privacy, intellectual property or other laws; circumvent messaging limits or security measures; upload unlawfully obtained contact lists; or resell services without authorization. We may investigate violations and restrict or suspend access when reasonably necessary to protect users, comply with provider requirements or prevent unlawful activity.
7. Consent and Opt-Outs
You are responsible for ensuring recipients have the appropriate permissions or lawful basis to receive communications. Identify your business appropriately, follow applicable messaging requirements, honor requests to stop receiving messages, and maintain relevant consent records where required. We may suspend campaigns or accounts where there is credible evidence of spam, abuse, unlawful messaging or policy violations.
8. Pricing, Payments and Subscriptions
Prices, billing cycles, usage allowances and applicable taxes will be disclosed on the website, checkout page or order confirmation. Unless otherwise stated, subscription fees are payable in advance; access to paid features may depend on successful payment; third-party usage charges may apply; legally applicable taxes may be added; and failed payments may result in restricted access. Automatic renewals must be disclosed at checkout and follow the terms you expressly accept.
9. Refunds and Cancellation
Refund requests are governed by the Refund & Cancellation Policy, which forms part of these Terms. Review that policy before purchasing a plan or messaging credits. Nothing in the policy limits non-waivable rights under applicable law.
10. Service Availability and Delivery
We aim to provide reliable service but do not guarantee uninterrupted or error-free operation. Delivery may be affected by connectivity, third-party outages, provider restrictions, recipient settings, template approvals and other factors outside our control. Campaign submission or acceptance does not mean every message will be delivered or read. We do not guarantee sales, leads, response rates or conversions. Delivery reports may have limitations.
11. Intellectual Property
NKWAPI.COM and its licensors retain rights in the website, software, branding, documentation and proprietary materials. Subject to these Terms and payment obligations, we grant a limited, non-exclusive, non-transferable right to use purchased services for their intended business purpose. You are responsible for rights and permissions relating to materials you upload. You may not copy, reverse engineer, exploit or redistribute proprietary software except as permitted by law or authorized in writing.
12. Data Protection
Our information practices are described in our Privacy Policy. You are responsible for complying with applicable privacy and data protection requirements when collecting, uploading and using customer information. Do not upload sensitive or confidential information unless the service is suitable and applicable legal requirements have been met.
13. Suspension and Termination
We may suspend, restrict or terminate access if you violate these Terms; your account is used for fraud, spam or unlawful activity; a third party restricts a required service; payment remains overdue; your activity creates a material security, legal or operational risk; or suspension is otherwise permitted by law or contract. Where reasonably practicable and lawful, we may provide notice and an opportunity to remedy a violation. You may request account closure at support@nkwapi.com.
14. Limitation of Liability
To the maximum extent permitted by applicable law, NKWAPI.COM will not be liable for indirect, incidental, special or consequential losses, including lost profits, revenue, business opportunities, goodwill or anticipated savings. We are not responsible for losses arising solely from third-party outages, provider restrictions, recipient-side issues or events outside our reasonable control. Nothing excludes liability that cannot legally be excluded, including fraud or willful misconduct where exclusion is prohibited. Subject to applicable law, our aggregate liability for the relevant service will not exceed fees paid to NKWAPI.COM for that service during the three months preceding the event giving rise to the claim.
15. Indemnification
To the extent permitted by law, you are responsible for third-party claims, losses and reasonable expenses arising from your unlawful use of the service, violation of these Terms or infringement of another party's rights. This does not apply to the extent a claim results from our own unlawful conduct or circumstances for which you cannot legally be held responsible.
16. Changes to Terms
We may update these Terms to reflect service changes, third-party requirements or applicable law. Updates will be published with a revised date. Where required, we will provide notice or obtain agreement before material changes take effect.
17. Governing Law and Disputes
These Terms are intended to be governed by the laws of India, subject to mandatory legal protections and jurisdictional requirements. The parties will attempt to resolve disputes amicably by contacting support@nkwapi.com. Unresolved disputes may be referred to a competent court or appropriate forum under applicable law. The operating legal entity and appropriate jurisdiction should be confirmed in the final published version.
